Turkish Commercial Code amendments extend the deadline for excluding certain losses and expenses from capital loss calculations, providing companies additional time to manage foreign exchange losses, lease expenses, depreciation, and personnel costs in their financial assessments.

10.10.2026 tarihli ve 33396 sayılı Resmî Gazete’de yayımlanan Tebliğ değişikliği (“Değişiklik Tebliği”) ile 6102 sayılı Türk Ticaret Kanununun (“TTK”) 376. maddesi kapsamında sermaye kaybı ve borca batıklık hesaplamalarında belirli gider ve zararların dikkate alınmamasına imkan tanıyan geçici uygulamanın süresi 01.01.2027 tarihinden 01.01.2028 tarihine uzatılmıştır.

The Communiqué published in the Official Gazette dated 10 October 2026 and numbered 33396 (the “Amending Communiqué”) extends the period during which certain losses and expenses may be excluded from capital loss and over-indebtedness calculations under Article 376 of the Turkish Commercial Code No. 6102 (the “TCC”). The expiry date of this temporary relief has been extended from 1 January 2027 to 1 January 2028.

The 12th Judicial Reform Package was published in the Official Gazette No. 33326 dated July 31, 2026.
