Indonesia: Corporate and Company Law

For companies engaged in import activities, compliance with Indonesian import requirements extends beyond business licensing and customs formalities. Importers must also comply with specific technical requirements applicable to certain types of products entering Indonesia.

In the beginning of this year on 2 January 2026, the Government of Indonesia has officially enacted Law No. 1 of 2026 on Criminal Adjustment (“Law 1/2026”). Law 1/2026 introduces several amendments to Law No. 1 of 2023 on the Indonesian Criminal Code (the “New Criminal Code”), effective since its date of enactment. Among the changes to the previous criminal code stipulated in this New Criminal Code is specific stipulation on the applicable criminal penalties for corporations.

On June 5, 2025, the Government of Indonesia issued Government Regulation No. 28 of 2025 regarding the Organization of Risk-Based Business Licensing ("GR 28/2025"), which entered into force on the same date. GR 28/2025 revokes and replaces Government Regulation No. 5 of 2021 ("GR 5/2021").
